Terms of service

This website is operated by Stansill Designs Inc., a California corporation, doing business as Valley Acoustics ("we", "us", "our"). Our shop and place of business is 9520 Owensmouth Ave, Suite 1, Chatsworth, CA 91311.

By placing an order or using this site, you agree to these terms.

1. Orders and Acceptance

Placing an order is an offer to buy, not a completed contract. A contract is formed when we confirm by email that we have accepted your order and are beginning your build.

We may decline or cancel an order, with a full refund and no further liability, if:

  • A product or fabric is unavailable or discontinued at the mill
  • A product was listed at an incorrect price, dimension or specification
  • We cannot build the item as specified
  • We cannot verify the billing or delivery information provided
  • The order appears fraudulent, or is for resale without our agreement

2. Payment

Store orders are paid in full at the time of order. We do not operate an account or invoice system for store orders and do not begin a build before payment has cleared.

Custom projects and installations quoted outside the store run in two parts:

  • Materials and fabrication are paid up front, before stock is ordered or building begins. This covers panels, furniture, mineral wool, fabric, lumber, hardware and anything else made or bought specifically for the job.
  • Installation is invoiced after the work is complete, on the terms stated on that invoice.

On a longer or phased project we may agree a staged payment schedule in writing. Where we do, that schedule takes precedence over this clause.

3. Prices and Tax

Prices are in US dollars and do not include shipping or sales tax, both of which are calculated at checkout.

California sales tax applies to all orders shipped to or picked up within California, at the combined state, county and district rate in effect at the delivery address on the date of sale. Orders shipped outside California may be subject to sales or use tax in your state, and where we are required to collect it, it is shown at checkout.

Tax-exempt buyers must supply a valid resale or exemption certificate before ordering. Tax already collected and remitted cannot be refunded.

4. Consultations and Design Services

The on-site consultation is an assessment of your room: measurement, listening evaluation, and a written treatment plan with panel type, thickness, quantity and placement, plus itemized pricing. You receive the assessment whether or not you order.

The fee is quoted in advance and depends on location and the number of rooms. You approve it before the visit is scheduled. There are no charges beyond the quoted fee.

If you place an order for panels and installation totaling $5,000 or more, before tax and freight, we credit the full on-site consultation fee against that order.

The credit applies once, against a single order. It is not redeemable for cash, not transferable, and not combinable with another credit or discount. If you do not proceed, or the order comes in below the threshold, the fee is retained as payment for work performed.

The phone consultation and room design are free with purchase. If you order panels after a phone consultation, we credit the full phone consultation fee against that order. Drawings, renderings or design documents commissioned as standalone work are quoted individually.

Cancellation and rescheduling of consultations is covered in our Refund Policy.

5. Custom and Made-to-Order Products

Substantially everything we sell is built to order in the size, thickness, fabric and mounting configuration you select. There is no finished stock.

Check your selections before ordering. Fabric, size, thickness, edge detail and mounting type cannot be changed once the build has begun. Our Refund Policy sets out what can and cannot be returned.

6. Pricing and Errors

Prices, specifications and product descriptions may change without notice. Where an obvious error appears in a price, dimension or specification, we reserve the right to correct it and to cancel any order placed against the erroneous listing, with a full refund.

7. Fabric and Color

We wrap in acoustically transparent textiles from the Guilford of Maine Anchorage 2335 range, in 50 colors.

Monitors, phone displays and printing all shift color. We send physical swatches free on request and recommend one before committing to a large order. We do not accept returns based on a color differing from a screen image.

Mill dye lots vary. On a large order, or a later order intended to match an earlier one, tell us, and we will attempt to source from a single lot, but cannot guarantee an exact match between lots milled at different times.

8. Fire Rating and Code Compliance

Fire ratings for the materials we use are those published by their manufacturers.

A rating on a material is not a code approval for your building. Occupancy classification, assembly requirements, sprinkler coverage, egress and local amendments are outside our control. For commercial, institutional, assembly or rental occupancies, confirming that the installation satisfies applicable code is the responsibility of the customer, their architect, contractor or fire marshal. We supply mill documentation and our own specifications on request to support that review.

9. Lead Times

Lead times quoted on this site and in correspondence are good-faith estimates, not guaranteed dates. They depend on mill stock, shop load and, for installations, site readiness.

We will tell you promptly if a date moves. Where a delay is ours or the mill's and you no longer want to wait, you may cancel for a full refund. We do not accept liability for consequential losses arising from a delayed delivery. See clause 12.

10. Delivery, Title and Risk

Title and risk of loss pass to you on delivery by the carrier.

The inspection and claim procedure in our Refund and Shipping policies applies from that point. Signing a freight receipt without noting visible damage makes a claim difficult.

11. Installation and Site Conditions

Installation labor is quoted separately and invoiced on completion. See clause 2.

Where we install, the following are the customer's responsibility unless separately agreed in writing:

  • Safe, clear and timely access to the work area, including parking and loading access
  • Accurate Information About Concealed Services: Electrical, plumbing, ductwork, structural members and low-voltage runs. We locate what we reasonably can, and do not accept liability for concealed services we were not told about
  • Suitability of the mounting substrate. We advise where a surface will not hold, but existing construction, previous repairs and unknown fixings are outside our control
  • Landlord or HOA consent where required

Where you install yourself, installation is at your own risk. Wall panels are supplied with a Z-bar cleat kit with drywall anchors and stud screws, and clouds with our Cloud Mounting Kit, but the fixing must suit your wall or ceiling. For a cloud or a heavy panel mounted above a work position, use a qualified installer if you are not certain of the fixing.

12. Limitation of Liability

To the fullest extent permitted by law, our total liability for any claim arising out of a product or this website is limited to the amount paid for the product giving rise to the claim.

We are not liable for indirect, incidental or consequential losses, including lost studio time, lost bookings, lost business, lost recordings or data, or costs incurred by third parties, whether or not we were advised such losses were possible.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.

13. Intellectual Property

All content on this site, including text, photographs, technical data, drawings, renderings, designs, and the Valley Acoustics name and logo, is the property of Stansill Designs and may not be reproduced, republished or used commercially without written permission.

Designs, drawings and specifications prepared for you remain our intellectual property unless agreed otherwise in writing. You may use them for your own project. You may not pass them to another fabricator to build from.

14. Governing Law

These terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute will be brought in the state or federal courts located in Los Angeles County, California, and both parties submit to the jurisdiction of those courts.

15. Changes to These Terms

We may update these terms from time to time. The version in force is the one published on this page on the date you place your order. Material changes do not apply retroactively to orders already accepted.
